These Terms of Service govern your use of solowebtechnologies.in and the professional services provided by Soloweb Technologies ("Soloweb", "we", "us"). By using the Site or engaging us, you agree to these terms. If you are agreeing on behalf of a company, you confirm that you have authority to bind it.
1. What we do
Soloweb designs and builds custom software — ERP-style business systems, internal tools, web applications, dashboards and automation — and provides ongoing maintenance. The specific deliverables, features, timeline and fee for each engagement are set out in a written proposal or statement of work ("SOW"). If these terms conflict with a signed SOW, the SOW prevails.
2. Engagements
- Project build: a fixed scope at a fixed fee, delivered in stages as described in the proposal.
- Subscription / maintenance: ongoing support, fixes and agreed improvements for a recurring fee, under a separate written agreement.
Nothing on this Site is an offer capable of acceptance. A contract exists only when both parties agree a written proposal or SOW.
3. Quotes, fees and taxes
Fees are quoted in the proposal and are exclusive of applicable taxes (including GST) unless stated otherwise. Payment schedules, invoicing and due dates are set out in the proposal. Work may pause if invoices are overdue. Third-party costs — hosting, licences, APIs, domains — are either billed at cost or paid directly by you, as agreed in writing.
4. Your responsibilities
- Provide timely, accurate information, content, access and feedback.
- Nominate one decision-maker who can approve scope and sign off.
- Ensure any data, content or integrations you supply may lawfully be used.
- Keep credentials you control secure and tell us promptly about suspected misuse.
Delays caused by these dependencies may move the timeline. We will flag this as soon as we see it rather than at the deadline.
5. Delivery and acceptance
Timelines in a proposal are good-faith estimates based on the scope and dependencies known at the time. We deliver in stages and share working builds for review. Unless the SOW says otherwise, you have 14 days after a stage is delivered to report defects that prevent it from meeting the agreed scope. Items that work as described but differ from what you later prefer are change requests, not defects.
6. Changes to scope
New features, changed requirements, or rework caused by a change in direction are estimated separately and may adjust the fee and timeline. We will not bill additional work without your written approval.
7. Intellectual property
On full payment for a project, you own the bespoke deliverables created for you. This excludes third-party and open-source components, and our pre-existing tools, libraries, templates and know-how — those remain ours (or their licensors') and are made available to you under the applicable licence. Open-source components are governed by their own licences. We may reuse general skills and non-confidential know-how on other projects.
8. Confidentiality
Each party will protect the other's confidential information with reasonable care, use it only for the engagement, and not disclose it to third parties except to employees, contractors or advisers who need it and are bound by confidentiality. This does not cover information that is public, already known, independently developed, or required to be disclosed by law.
9. Data protection
Where we process personal data on your behalf, you remain responsible for having a lawful basis and any required notices. We process it only on your instructions and take reasonable security measures. A separate data processing agreement is available on request.
10. Third-party services
Projects may depend on third-party platforms such as cloud hosting, payment gateways and APIs. Their availability, pricing and terms are controlled by those providers. We are not responsible for their outages or changes, but we will help you plan around them.
11. Support and maintenance
Unless covered by a maintenance agreement, support after handover is provided on request and may be quoted separately. A maintenance agreement sets out response times, included work and exclusions.
12. Warranties and limitation of liability
We will perform services with reasonable skill and care and in line with the agreed scope. We do not guarantee specific business outcomes, search rankings, revenue or savings. To the maximum extent permitted by law, our total liability arising from an engagement is limited to the fees paid to us for that engagement in the three months before the claim, and we are not liable for indirect, incidental, special or consequential losses, or for loss of profit, data or goodwill. Nothing in these terms excludes liability that cannot lawfully be excluded.
13. Termination
Either party may end an engagement with written notice if the other materially breaches it and does not fix the breach within 14 days of notice. On termination you pay for work completed and approved expenses incurred; we hand over completed deliverables and any material you provided.
14. References
We will not publicly name you or display your logo as a client without your written permission.
15. Governing law and disputes
These terms are governed by the laws of India. The courts at Kolkata, West Bengal have exclusive jurisdiction. Before starting proceedings, both parties agree to try to resolve the dispute in good faith through discussion for at least 30 days.
